Vacancy:<\/strong> 1 Legal Advisor<\/em><\/strong><\/td><\/tr>
Field: Commercial Contract and Advisory<\/em><\/strong><\/td><\/tr>
Main Duties and Responsibilities:<\/strong>\u00b7         Draft and review various commercial contacts including but not limited to Sale and purchase agreement, Service agreement, Supply agreement, Joint venture, Shareholders agreement, partnership agreement, Distribution agreement, Franchise agreement, Management agreement, Promissory note and note subscription agreement, Pledge agreement and guaranty agreement, Non-disclosure agreement, Shares sale and purchase agreement, etc.\u00b7         Draft legal advices and opinions to clients on all commercial agreements, possible law and contract interpretation, applicable law and on other matters as assigned by supervisor or head of practice;\u00b7         Conducting legal due diligence on target company according to agreed scope of work with client.Manages client\u2019s matter and ensure that all client work is progressed expeditiously and that the client is kept regularly informed;\u00b7         Respond and communicate directly with clients to receive their clear direction, feedback and comment;\u00b7         Liaises with relevant authorities for any legal issues;\u00b7         Record properly time spent, review and revise invoice in accordance with the firm\u2019s policies;\u00b7         Provide translation and\/or conduct proof reading on agreements or other legal opinion;\u00b7         Conduct research in various laws and regulations, review and maintain firm\u2019s regular publication on legal update, legal compliance alert and legal review;\u00b7         Supervises, supports legal assistant and others supporting staffs;\u00b7         Provide short training course to enrich team\u2019s knowledge on commercial contract and advisory, and other related matter;\u00b7         Conduct other tasks as reasonably assigned by supervisor or lawyer; and\u00b7         Report to direct supervisor in this field.<\/td><\/tr>
Education and Experience Requirement:<\/strong>\u00b7         Bachelor\u2019s degree in law (Master\u2019s degree is preferable) with minimum 3 years of experience\u00b7         Knowledge in trust and security market, and in management skill in also preferable.<\/td><\/tr>
Other Requirement:<\/strong>\u00b7         Cambodian citizenStrong English skill both written and spokenHonesty and integrityGood interpersonal and communication skillsAbility to work independently and as part of a team<\/td><\/tr>
