In early 2026, we are pleased to have successfully advised and supported our client in the structuring and drafting of a comprehensive Agricultural Production Agreement for a landmark agrico-alimentary project spanning approximately 4,600 hectares in Kampong Speu Province, Cambodia.

This project represents a significant development in Cambodia’s integrated food supply chain, bringing together a coordinated ecosystem of landowners, farmers, and a financing partner (lender) under a unified contractual framework.

Our role encompassed providing strategic legal advice and preparing a robust tripartite agreement to ensure alignment of interests, operational efficiency, and long-term sustainability of the project.

A key feature of the structure is the secured offtake arrangement, whereby the agricultural produce is supplied directly to the processing factory owned by the landowners, enabling a seamless value chain from cultivation to processing and contributing to supply stability in the local agrico-alimentary sector.

Key aspects of our work included:

• Structuring the legal relationship among the three parties to ensure clarity of roles, rights, and obligations.
• Designing a scalable framework suitable for large-scale agricultural operations (approx. 4,600 hectares).
• Drafting tailored provisions on land use, crop production, financing mechanisms, and profit-sharing arrangements.
• Incorporating offtake mechanisms to secure downstream supply to the landowners’ processing facilities.
• Addressing risk allocation, performance obligations, and default scenarios across multiple stakeholders.
• Ensuring compliance with applicable Cambodian laws and agricultural regulations.

This engagement highlights our firm’s strength in delivering complex, multi-party agribusiness transactions, particularly those that integrate financing, production, and processing within a single food supply chain model. The project stands as a strong example of legal structuring supporting sustainable agricultural development and food security in Cambodia.
